The Role

We are looking for a Senior Commercial Counsel to support our company and teams on a wide range of day-to-day legal matters. Reporting to the General Counsel, the Senior Commercial Counsel will be responsible for providing high quality legal and business judgment as well as negotiating and drafting expertise on a variety of issues such as contracts, general commercial matters, and compliance. The Senior Commercial Counsel will be involved in a variety of corporate legal projects as the company continues its exciting growth, building new products (physical and digital) and expanding globally.

Responsibilities

  • Draft, review, and negotiate contracts, licenses, and other technology transfer agreements, supporting the company’s business teams, including, in particular, digital marketing and content creation.
  • Develop and maintain forms of agreements and a contract playbook of material terms.
  • Manage non-disclosure agreements, employee confidential information agreements, and maintenance of confidential information protections across the organization.
  • Coordinate contract workflow and continually improve processes to identify efficiencies and facilitate timely negotiation and execution of agreements.
  • Provide general commercial legal services and counsel.
  • Stay apprised of ever-changing laws and regulations affecting the business.
  • Support expansion into new markets and formation of subsidiaries.
  • Assist Legal team and partner with outside counsel on issues and matters as needed.

Requirements

  • Minimum of 4 years of experience as a licensed attorney with a combination of Big Law and at least 2 years as a member of an in-house legal team.
  • Extensive experience drafting and negotiating complex technology transactions and other commercial agreements.
  • JD from an accredited US law school (top 50 highly preferred). Candidates will need to provide both law school and undergraduate GPAs.
  • Law license in good standing in one of the 50 United States; no disciplinary history from any professional organization (e.g., state bar).
  • Excellent oral and written communication skills, with impeccable attention to detail.
  • Organized self-starter who thrives in a dynamic, fast-paced environment.
  • Ability to balance legal risk mitigation against key business objectives and risks.
  • Experience supporting digital marketing and consumer products businesses is highly desirable.
  • Data privacy experience is a plus.
  • This is a remote position. Must be located in the United States. Occasional travel to Boise, ID and/or other locations may be required.

Salary Range Information

Based on market data and other factors, the salary range for this position is $180,000 to $220,000. However, a salary higher or lower than this range may be appropriate for a candidate whose qualifications differ meaningfully from those listed in the job description.
